Beat License Agreement
This Beat License Agreement ("Agreement") is made effective as of the date of download, as recorded by Licensor's records, by and between Avidan Smith ("Licensor"), a music producer, and the person who downloaded this beat ("Licensee").
Recitals:
Whereas, Licensor owns and controls the rights to a certain musical beat ("Beat");
And Whereas, Licensee desires to obtain a license to use the Beat;
Now, Therefore, in consideration of the mutual covenants and promises herein contained, the sufficiency of which is hereby acknowledged, the parties agree as follows:
1. Grant of License:
Licensor hereby grants to Licensee a non-exclusive, non-transferable, worldwide license to use the Beat as background music for Licensee’s content only ("Licensed Use"). This License permits Licensee to incorporate the Beat into Licensee’s video or multimedia projects for personal or commercial use, excluding any form of song creation, re-uploads, or sample chopping. This Agreement expressly forbids the Licensee from using the Beat as part of any musical composition, song, or for the creation of derivative works.
2. Restrictions:
Licensee shall not, directly or indirectly, use the Beat for song creation, re-uploads, or sample chopping. Any intentions to use the Beat for purposes other than the Licensed Use must be approved in advance by the Licensor through direct contact. The Beat remains the intellectual property of the Licensor. This Agreement does not convey ownership of the Beat to Licensee.
3. Term & Termination:
This Agreement shall commence on the Effective Date and continue in effect until terminated by either party. Either party may terminate this Agreement at any time by providing written notice to the other party.
4. Indemnification:
Licensee agrees to indemnify, defend, and hold harmless Licensor from any claims, damages, losses, or expenses, including attorneys' fees, arising out of or in connection with Licensee's use of the Beat.
5. General Provisions:
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland.
Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.
Amendment: No amendment or modification of any provision of this Agreement shall be effective unless in writing and signed by both parties.
Electronic Acceptance: Downloading the Beat constitutes acceptance of this Agreement's terms. The effective date of this Agreement is the date of download as recorded by the Licensor's records.

6. Non-Profit Use and Attribution:
Non-Profit Use: This license is granted solely for non-commercial, non-profit use. Any commercial use of the Beat requires the purchase of a separate lease or exclusive rights from the Licensor.
Attribution Requirements: When using the Beat as permitted under this Agreement, the Licensee must include the following attribution in any content descriptions or credits: "Production by Avidan Smith". Additionally, the Licensee is required to provide a link to the Licensor’s YouTube channel in the content description.
7. Prohibited Platforms for Unlicensed Commercial Use:
The Licensee is expressly prohibited from using or uploading the Beat to streaming platforms such as Spotify, Apple Music, and similar digital music services without purchasing a commercial lease or acquiring exclusive rights from the Licensor. This prohibition extends to any platform or service that offers commercial distribution or streaming capabilities.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.
